END USER LICENSE AGREEMENT
This End User License Agreement ("EULA") is a legal agreement between you and Power Punch Technologies Inc. and applies to your use of the Kayyo software and any related updates or supplements (collectively, the "Software"). By installing or using the Software, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the Software.
License Grant. Power Punch Technologies Inc. grants you a personal, non-exclusive, non-transferable license to install and use the Software on any iOS device that you own or control, solely for your own personal use.
Restrictions. You may not: (a) modify, adapt, or create derivative works based on the Software; (b) distribute, transfer, sublicense, lease, lend, or rent the Software to any third party; (c) reverse engineer, decompile, or disassemble the Software; or (d) use the Software for any commercial purposes.
Ownership. The Software and all intellectual property rights in and to the Software are and will remain the sole and exclusive property of Power Punch Technologies Inc. and its licensors. The Software is protected by copyright and other intellectual property laws.
Termination. This EULA and your right to use the Software will automatically terminate if you breach any of the terms of this EULA. Power Punch Technologies Inc. may also terminate this EULA at any time for any reason, upon notice to you. Upon termination, you must uninstall and destroy all copies of the Software.
Disclaimer of Warranties. THE SOFTWARE IS PROVIDED "AS IS," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. POWER PUNCH TECHNOLOGIES INC. AND ITS LICENSORS HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS WITH RESPECT TO THE SOFTWARE, EITHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES AND/OR CONDITIONS OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, QUIET ENJOYMENT, AND NON-INFRINGEMENT OF THIRD PARTY RIGHTS. POWER PUNCH TECHNOLOGIES INC. AND ITS LICENSORS DO NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE.
Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL POWER PUNCH TECHNOLOGIES INC. OR ITS LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF THE SOFTWARE, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF POWER PUNCH TECHNOLOGIES INC. OR ITS LICENSORS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL POWER PUNCH TECHNOLOGIES INC.'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT OF FIFTY DOLLARS ($50).
